Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of this website and any services provided by Webwaxhaw ("we," "us," or "our"), a web design and maintenance service based in Waxhaw, North Carolina. By using this website, submitting a payment, or entering into a service agreement with us, you ("Client" or "you") agree to be bound by these Terms.

If you do not agree to these Terms, do not use our services or submit payment.

2. Services

We offer two primary services:

Website Build

A one-time service to design, build, and launch a custom website. The scope of each build is confirmed in writing before any payment is collected. The build includes: selection and customization of one layout, domain registration, business email setup (Google Workspace or Microsoft 365), Stripe payment integration, and coordination through launch.

Monthly Maintenance

A recurring monthly subscription that includes: web hosting management, SSL certificate monitoring, uptime checks, and up to 2 hours of content edits per calendar month. Unused edit hours do not roll over. Services explicitly excluded from the monthly plan are described in Section 6.

3. Payment Terms

Website Build Deposit

A 50% deposit of the agreed project total is required before any work begins. This deposit is non-refundable. By submitting the deposit, you authorize the charge and acknowledge that the deposit will not be returned under any circumstances, including if you change your mind, fail to provide required content, or request cancellation after the build has started.

The remaining 50% balance is due and payable upon your approval of the completed website, prior to the site going live. We will not publish your website until the final payment clears.

Monthly Maintenance Subscription

AUTOMATIC RENEWAL DISCLOSURE (Required by N.C. Gen. Stat. § 75-41 and FTC Negative Option Rule): The monthly maintenance plan is a subscription that automatically renews each month at $99/month until you cancel. By enrolling, you authorize us to charge your payment method on file automatically each month on or around the same date as your first payment. The charge will appear on your statement as WEBWAXHAW. You may cancel at any time using the methods described in Section 4 with no cancellation fee.

Failed Payments

If a recurring payment fails, we will attempt to notify you by email. If payment is not resolved within 7 days, your maintenance service may be paused. We are not liable for any issues that arise from a paused or suspended website due to non-payment.

All Prices in USD

All prices are in United States dollars. We do not charge sales tax unless required to do so by applicable law.

4. Cancellation Policy

Monthly Plan Cancellation

You may cancel your monthly maintenance subscription at any time using any of the following methods — no special form, no penalty, no requirement to speak with anyone:

Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months. We will confirm your cancellation by email within 1 business day. After cancellation, you retain full ownership and control of all accounts registered in your name.

Auto-Renewal Notice (N.C. Gen. Stat. § 75-41 / FTC Rule): Your monthly maintenance plan automatically renews each month at the rate of $99/month (or such other rate as confirmed at enrollment) until you cancel. You may cancel at any time using the methods above. Cancellation will not generate a prorated refund for the current period.

Build Project Cancellation

If you cancel a build project after paying the deposit, the deposit is forfeited. If you cancel after the final payment has been collected and the site is live, no refund is available. If we have not yet begun work and you cancel within 48 hours of the deposit, we will consider refund requests on a case-by-case basis at our sole discretion.

5. Asset Ownership

All accounts created as part of your build · including your domain registrar account, web hosting account, business email account (Google Workspace or Microsoft 365), and Stripe account · are registered in your name and billed to your payment method from day one. You own these accounts entirely. We are given administrative access to manage them on your behalf. You may revoke that access at any time.

Upon full payment and launch, all website code, copy, images you provided, and design assets customized specifically for your business belong to you. We retain the right to display your website in our portfolio unless you request otherwise in writing.

We are not responsible for any fines, penalties, or legal claims arising from content you provide or from your use of third-party services.

8. Revision Rounds

Every build includes up to two rounds of revisions based on a private preview link we provide. A revision round means a compiled list of changes submitted in a single message. Additional revision rounds beyond two may be quoted and billed separately. After you sign off on the website, the build is considered complete and accepted.

9. Payment Processing

All payments are processed by Stripe, Inc. We do not store your card number, CVV, or full payment details on our systems. By submitting a payment, you also agree to Stripe's terms of service. In the event of a payment dispute or chargeback, you agree to contact us first at team@webwaxhaw.com to resolve the issue before initiating a dispute with your bank.

10. No Guarantee of Results

We build and maintain websites. We make no guarantees regarding search engine rankings, website traffic, leads generated, or business revenue. Results from having a website depend on many factors outside our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBWAXHAW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO OUR SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE 90 DAYS PRECEDING THE CLAIM.

This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

12. Indemnification

You agree to defend, indemnify, and hold harmless Webwaxhaw and its owner(s) from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) content you provide to us; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your use of third-party services registered under your accounts.

13. Intellectual Property

The layout templates we build from are our proprietary designs. While we customize each layout for your business and the resulting website belongs to you, the underlying layout structure and design system remain our intellectual property. You may not resell, sublicense, or distribute the base layout to others.

Any content you provide · text, images, logos, trademarks · remains your property. By providing content to us, you grant us a limited license to use it solely for the purpose of building and maintaining your website.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Union County, North Carolina, and you consent to personal jurisdiction in those courts.

Before pursuing legal action, both parties agree to first attempt to resolve any dispute by good-faith negotiation for a period of at least 30 days.

15. Changes to These Terms

We may update these Terms at any time. When we do, we will update the effective date at the top of this page. For active monthly subscribers, we will provide at least 14 days' notice of material changes by email. Continued use of our services after the effective date of any changes constitutes acceptance.

16. Entire Agreement

These Terms, together with our Privacy Policy and any project scope confirmed in writing, constitute the entire agreement between you and Webwaxhaw regarding our services and supersede all prior agreements or understandings.

18. North Carolina Consumer Protection

These Terms are subject to the North Carolina Unfair and Deceptive Trade Practices Act (N.C. Gen. Stat. § 75-1.1 et seq.) and all other applicable North Carolina consumer protection statutes. Nothing in these Terms is intended to waive any rights you may have under applicable law.
